1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of KayakVault, operated by STIX Outdoors, LLC ("Company", "we", "us", or "our"). By creating an account or using any part of the service, you agree to these Terms and our Privacy Policy.

2. Description of Service

KayakVault is a platform that allows users to:

• Create and manage a digital inventory of their kayaks and gear
• Connect with other kayak anglers and paddlers
• Buy, sell, and trade kayaks, gear, and accessories through our marketplace
• Discover and share kayak launch locations
• Share content including photos, videos, and posts
• Organize and participate in meetups and events

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account and use KayakVault. By creating an account, you represent and warrant that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. User Content

4.1 Your Content

You retain ownership of content you post on KayakVault ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the service.

4.2 Content Guidelines

You agree not to post content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes on any patent, trademark, copyright, or other intellectual property rights
• Contains software viruses or any other malicious code
• Is spam, advertising, or solicitation without our prior written consent
• Impersonates any person or entity or misrepresents your affiliation
• Contains personal information of others without their consent

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

5. Marketplace

5.1 Listings

When listing items for sale, you agree to:

• Provide accurate and complete descriptions of items
• Only list items you own and have the right to sell
• Comply with all applicable laws regarding the sale of goods
• Respond to buyer inquiries in a timely manner

5.2 Transactions

KayakVault provides a platform for users to connect for buying and selling. We are not a party to any transaction between users. You acknowledge that:

• We do not guarantee the quality, safety, or legality of items listed
• We do not guarantee the accuracy of listings or user representations
• We do not guarantee that buyers will complete purchases
• Transactions are conducted at your own risk

5.3 Prohibited Items

You may not list items that are illegal to sell, stolen, counterfeit, or otherwise prohibited by law.

6. Community Guidelines

To maintain a positive community, you agree to:

• Treat other users with respect and courtesy
• Not engage in harassment, bullying, or intimidation
• Not share misleading or false information
• Report violations of these Terms to us
• Follow safe practices when meeting other users in person

7. Meetups and In-Person Activities

KayakVault may facilitate organizing meetups and group activities. You acknowledge that:

• Participation in any meetup or activity is at your own risk
• We are not responsible for the actions of other users
• You should take appropriate safety precautions when meeting others
• Kayaking and water activities carry inherent risks

8. Intellectual Property

8.1 KayakVault Content

The KayakVault service, including its original content, features, and functionality, is owned by STIX Outdoors, LLC and is protected by international copyright, trademark, patent, and other intellectual property laws.

8.2 Third-Party Product Images, Logos, and Trademarks

All product images, logos, and trademarks displayed within this application are the property of their respective owners. These images are used for identification and reference purposes only.

KAYAKVAULT and STIX Outdoors claim no ownership of, or affiliation with, any manufacturer or brand shown unless explicitly stated. The display of these images does not imply endorsement, sponsorship, or partnership.

If you are a copyright owner and believe your material has been used improperly, please contact us at support@kayakvault.com and we will promptly address your concerns.

9. Third-Party Services

Our service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

10. Disclaimers

10.1 Service Availability

We do not guarantee that the service will be available at all times or without interruption. We may modify, suspend, or discontinue any part of the service at any time.

10.2 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STIX OUTDOORS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the service
• Any bugs, viruses, or the like that may be transmitted through the service
• Any errors or omissions in any content
• Any transactions between users

12. Indemnification

You agree to defend, indemnify, and hold harmless STIX Outdoors, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the service or violation of these Terms.

13. Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the service will immediately cease
• We may delete your account and User Content
• Provisions of these Terms that should survive termination will remain in effect

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "last updated" date and, where appropriate, providing additional notice. Your continued use of the service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. HOOKED — Terms of Use and Release of Liability

Welcome to HOOKED, operated by STIX Outdoors LLC ("Company," "we," "us," "our"). These Terms of Use ("Terms") govern your access to and use of the HOOKED mobile application and related services (the "App"), including HOOKED / QuickCast features accessed through KayakVault. By downloading, accessing, or using the App, you ("User," "you") agree to be bound by these Terms. If you do not agree, do not use the App.

19.1 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the App. If you are under 18, you may use the App only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

19.2 Account Registration

You may need to create an account to use certain features. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. We may suspend or terminate accounts that violate these Terms.

19.3 License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial recreational purposes, subject to these Terms. You may not copy, modify, reverse-engineer, distribute, or create derivative works from the App.

19.4 User Content

You retain ownership of content you submit (catch logs, photos, tournament entries, comments—"User Content"). By submitting User Content, you grant STIX Outdoors LLC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute it in connection with operating and promoting the App and its services. You represent that you own or have the rights to any content you submit and that it does not violate any law or third-party right.

19.5 Acceptable Use

You agree not to: submit false catch or tournament data; harass or harm other users; upload unlawful, infringing, or harmful content; interfere with the App's operation or security; scrape or harvest data; or use the App for any unlawful purpose. We reserve the right to disqualify entries, remove content, and terminate accounts for violations.

19.6 Tournaments and Competitive Features

Tournaments, leaderboards, and scoring are subject to their own rules published within the App. We reserve the right to verify entries, resolve disputes, disqualify participants for rule violations, and modify or cancel any competition at our discretion. All tournament decisions by STIX Outdoors LLC are final.

19.7 Assumption of Risk

You understand that fishing, kayaking, boating, and related outdoor activities involve inherent and significant risks, including but not limited to drowning, capsizing, adverse weather, equipment failure, collision, injury from hooks or gear, wildlife encounters, and death. You voluntarily assume all such risks, whether known or unknown, arising from your use of the App or your participation in any activity organized, promoted, tracked, or facilitated through it.

19.8 Nature of the App; No Reliance

The App provides information, tracking, tournament features, location data, and content for informational and recreational purposes only. We do not guarantee the accuracy, completeness, safety, or reliability of any information, including navigation data, weather, catch records, tournament results, or location markers. You are solely responsible for your own safety and decisions and should not rely on the App for navigation or safety-critical purposes.

19.9 Release and Waiver of Liability

To the fullest extent permitted by law, you release, waive, and discharge STIX Outdoors LLC, its members, officers, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising out of or related to your use of the App or participation in any activity connected to it, whether caused by negligence or otherwise.

19.10 Indemnification

You agree to indemnify and hold harmless STIX Outdoors LLC and its members, officers, employees, agents, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) brought by you or any third party arising from your use of the App, your User Content, or your violation of these Terms.

19.11 No Warranty

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

19.12 Limitation of Liability

To the fullest extent permitted by law, STIX Outdoors LLC's total liability for any claim arising from the App shall not exceed the greater of the amount you paid us to use the App in the twelve months preceding the claim, or one hundred dollars ($100). We shall not be liable for any indirect, incidental, consequential, or punitive damages.

19.13 Third-Party Services

The App may integrate with or link to third-party services (maps, weather, payment processors). We are not responsible for the content, accuracy, or practices of third-party services, which are governed by their own terms.

19.14 Modifications to the Terms and App

We may update these Terms at any time. Material changes will be communicated through the App or by notice, and continued use after changes take effect constitutes acceptance. We may modify, suspend, or discontinue any part of the App at any time.

19.15 Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. Provisions that by their nature should survive termination—including the Release, Indemnification, and Limitation of Liability—will survive.

19.16 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the App shall be resolved in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.

19.17 Severability

If any provision is held unenforceable, the remaining provisions remain in full effect.

19.18 Entire Agreement

These Terms constitute the entire agreement between you and STIX Outdoors LLC regarding the App and supersede any prior agreements.

By agreeing in the HOOKED app, or by accessing or using the App (including HOOKED / QuickCast features in KayakVault), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Release of Liability.
